Rajah & Tann Singapore LLP advised Bridgetown 2 Holdings Limited, a special purpose acquisition company (SPAC) established by Pacific Century Group and Thiel Capital LLC, in its proposed merger with PropertyGuru Pte. Ltd. The transaction, valued at approximately US$1.78 billion, involved plans to list the combined company on the New York Stock Exchange.
The transaction was led by Partners Evelyn Wee and Hoon Chi Tern, with key support from Partners Desmond Wee, Benjamin Cheong, Elsa Chai, Lina Chua, and Vikna Rajah. The team provided comprehensive advice, covering corporate structuring, regulatory compliance, intellectual property, and tax-related matters.
The proposed merger would create a significant player in the property technology space in Southeast Asia, leveraging PropertyGuru’s platform to scale its market presence. The transaction also reflects a growing trend of SPAC mergers facilitating listings on major international stock exchanges.
