Rajah & Tann Singapore LLP represented DBS Trustee Limited, the trustee of Mapletree North Asia Commercial Trust (MNACT), in the proposed S$4.2 billion merger with Mapletree Commercial Trust (MCT). This transaction involved MCT acquiring all issued units of MNACT through a trust scheme of arrangement. Notably, this is the first Real Estate Investment Trust (REIT) merger in Singapore offering MNACT unitholders two scheme consideration options: a combination of cash and MCT units, or scrip-only.
